Effective Date: September 8, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the website located at richardsprocurementgroup.com (the “Site”) and the consulting, advisory, training, and related services (the “Services”) offered by Richards Procurement Group, LLC (“RPG,” “we,” “us,” or “our”). By accessing the Site or engaging RPG for Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site or the Services.
1. Nature of Our Services
RPG provides federal procurement consulting, including but not limited to acquisition strategy, contract vehicle attainment support, IDIQ and GWAC positioning, proposal and color team reviews, training, and opportunity identification and monitoring. Our Services are advisory in nature. RPG is an independent, privately held consulting firm and is not affiliated with, endorsed by, or acting on behalf of the U.S. General Services Administration (GSA), the Department of Defense, or any other federal, state, or local government agency. Any references to government agencies, contract vehicles, or programs are for descriptive purposes only.
2. No Guarantee of Results
Federal contract awards, schedule and vehicle acceptances, evaluation outcomes, and agency decisions are made solely by the government at its discretion. RPG makes no representation, warranty, or guarantee that any proposal, offer, application, or submission prepared with our assistance will result in a contract award, task order, schedule acceptance, favorable evaluation, or any other particular outcome. Past results, including those described on the Site or in our marketing materials, do not guarantee future performance.
3. Not Legal, Accounting, or Financial Advice
RPG’s Services and the content on the Site are provided for general informational and business-advisory purposes only and do not constitute legal, accounting, tax, or financial advice. RPG is not a law firm and does not provide legal representation. Interpretations of the Federal Acquisition Regulation (FAR), agency supplements, solicitation terms, and related regulations are offered as business guidance only. You should consult qualified legal counsel or other licensed professionals regarding your specific circumstances, including compliance obligations, bid protests, small business size and status certifications, and contract disputes.
4. Client Responsibilities
You are solely responsible for (a) the accuracy, completeness, and truthfulness of all information, data, past performance, certifications, and representations you provide to RPG or submit to any government agency; (b) reviewing and approving all deliverables before submission; (c) all final decisions regarding pricing, teaming, capability claims, and bid/no-bid strategy; (d) maintaining your own registrations, including SAM.gov and any agency-specific portals; and (e) complying with all applicable laws and regulations, including the Procurement Integrity Act, the False Claims Act, and the Truth in Negotiations Act. RPG relies on the information you provide and is not responsible for any consequence arising from inaccurate or incomplete Client information.
5. Compliance and Ethical Conduct
RPG conducts its business in accordance with applicable federal procurement laws and ethics rules. RPG will not solicit or use source selection information or contractor bid or proposal information in violation of the Procurement Integrity Act (41 U.S.C. §§ 2101–2107), will not engage in lobbying activities on your behalf unless separately agreed and properly registered, and will not participate in any conduct that would create an organizational conflict of interest or violate government ethics rules. You agree not to request that RPG engage in any such conduct. RPG reserves the right to decline or terminate any engagement it reasonably believes would violate applicable law or ethical standards.
6. Engagement Terms, Fees, and Payment
Specific Services, deliverables, timelines, and fees will be set forth in a written proposal, statement of work, or services agreement (an “Engagement Agreement”). In the event of a conflict between these Terms and an executed Engagement Agreement, the Engagement Agreement controls with respect to that engagement. Unless otherwise stated in an Engagement Agreement, invoices are due within thirty (30) days of the invoice date; late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law; and RPG may suspend Services for accounts that are more than thirty (30) days past due. Fees are non-refundable except as expressly provided in the applicable Engagement Agreement. Client is responsible for any applicable taxes other than taxes on RPG’s income.
7. Confidentiality
Each party agrees to hold in confidence any non-public business, technical, pricing, or proposal information disclosed by the other party in connection with the Services (“Confidential Information”) and to use such information only for the purposes of the engagement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, is independently developed, or is rightfully received from a third party without restriction. Either party may disclose Confidential Information to the extent required by law or legal process, provided it gives the other party prompt notice where legally permitted. These obligations survive termination of the engagement for a period of three (3) years, or, for trade secrets, for as long as the information remains a trade secret.
8. Intellectual Property
Upon full payment, you own the final deliverables specifically prepared for you under an Engagement Agreement (for example, completed proposal volumes, review reports, and strategy documents). RPG retains all right, title, and interest in its pre-existing and independently developed materials, including methodologies, templates, frameworks, tools, training content, checklists, scoring models, and know-how (“RPG Materials”), and grants you a non-exclusive, non-transferable license to use RPG Materials solely as incorporated into your deliverables. You may not resell, redistribute, or publicly share RPG Materials, training content, or reports without RPG’s prior written consent. All content on the Site, including text, graphics, logos, and design, is the property of RPG or its licensors and is protected by U.S. and international intellectual property laws.
9. Use of the Site
You may use the Site only for lawful purposes. You agree not to (a) copy, scrape, or reproduce Site content for commercial purposes without permission; (b) attempt to gain unauthorized access to the Site or its systems; (c) interfere with the Site’s operation or security; (d) submit false, misleading, or malicious information through any form on the Site; or (e) use the Site to transmit spam, malware, or unlawful content. RPG may suspend or terminate access to the Site at any time for any reason.
10. Testimonials, Case Studies, and Third-Party Content
Testimonials and case studies on the Site reflect the individual experiences of those clients and are not a guarantee of similar outcomes. The Site may contain links to third-party websites, including government portals such as SAM.gov and GSA eBuy. RPG does not control and is not responsible for the content, accuracy, or availability of third-party sites, and a link does not imply endorsement.
11. Disclaimer of Warranties
THE SITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, RPG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. RPG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION OBTAINED THROUGH THE SITE OR THE SERVICES WILL BE COMPLETE, CURRENT, OR ACCURATE. REGULATIONS, SOLICITATION TERMS, AND AGENCY PRACTICES CHANGE FREQUENTLY, AND YOU ARE RESPONSIBLE FOR VERIFYING CURRENT REQUIREMENTS WITH THE ISSUING AGENCY.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RPG, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CONTRACTS, BUSINESS OPPORTUNITIES, OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RPG’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR ANY ENGAGEMENT WILL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO RPG FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless RPG and its members, officers, employees, contractors, and agents from and against any claims, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) information, representations, or certifications you provide to RPG or to any government agency; (b) your use of the Services or deliverables; (c) your violation of these Terms or any applicable law or regulation; or (d) any submission you make to a government agency.
14. Independent Contractor
RPG is an independent contractor. Nothing in these Terms or any engagement creates a partnership, joint venture, agency, fiduciary, or employment relationship between RPG and you. RPG has no authority to bind you to any agreement with a government agency or third party, and you have no authority to bind RPG.
15. Term and Termination
Either party may terminate an engagement in accordance with the applicable Engagement Agreement or, if the Engagement Agreement is silent, upon thirty (30) days’ written notice. Upon termination, you agree to pay for all Services performed and expenses incurred through the effective date of termination. Sections 2, 3, 4, 7, 8, 11, 12, 13, 16, and 17 survive termination.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The parties agree to attempt in good faith to resolve any dispute through direct negotiation before initiating formal proceedings. Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in the State of Texas, and each party consents to the personal jurisdiction of such courts. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its Confidential Information or intellectual property.
17. General Provisions
These Terms, together with our Privacy Policy and any executed Engagement Agreement, constitute the entire agreement between you and RPG regarding the Site and the Services and supersede any prior understandings. If any provision is found unenforceable, the remaining provisions remain in full force. RPG’s failure to enforce any provision is not a waiver. You may not assign these Terms without RPG’s written consent. Notices to RPG must be sent in writing to the contact information below.
18. Changes to These Terms
RPG may update these Terms from time to time. The “Effective Date” above indicates when these Terms were last revised. Continued use of the Site or the Services after changes are posted constitutes acceptance of the revised Terms.
